Terms of Service

These Terms of Service ("Terms") are entered into between you and Gopher LLC, doing business as Hypawave ("Hypawave," "we," "us," or "our").

Please read these Terms carefully before using our website, dashboard, APIs, SDKs, documentation, payment flows, file delivery tools, and related services (collectively, the "Service").

By accessing or using the Service, creating an account, generating API keys, creating payment requests, using accountless agent flows, or otherwise interacting with Hypawave, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Hypawave provides Bitcoin Lightning payment-gated delivery and execution infrastructure. The Service allows developers, creators, and agents to create payment requests, attach encrypted files or metadata, verify Lightning settlement, and unlock files, API access, data, or actions after payment is confirmed.

Hypawave supports multiple access patterns, including human-managed accounts and API keys, accountless keypair-based agent flows, persistent payment offers, one-off invoices, encrypted file delivery, payment receipts, and programmable settlement confirmation.

Hypawave is non-custodial for principal payments.

Buyer-to-creator payments are sent directly from the payer's Lightning wallet or node to the recipient's Lightning wallet, Lightning Address, LNURL-pay endpoint, or node. Hypawave does not hold, control, or custody principal Bitcoin payments.

Hypawave may receive separate service fees, topups, or activation fees for use of the Service. Those fee payments may be processed through third-party Lightning infrastructure.

2. Eligibility and Compliance

You may use the Service only if you can legally enter into these Terms and only in compliance with applicable laws. You are responsible for determining whether your use of the Service is legal in your jurisdiction.

You may not use the Service if you are prohibited from doing so under applicable law, sanctions, export controls, or restrictions imposed by any relevant government authority. You may not use the Service to evade legal obligations, sanctions, payment restrictions, or compliance controls.

The Service is not intended for children under 18. By using the Service, you represent that you are at least 18 years old or the age of majority in your jurisdiction, whichever is higher.

3. Accounts, Authentication, and API Keys

When you create an account, you must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality and security of your account credentials, API keys, private keys, signing keys, wallet credentials, and any authentication method used with the Service.

You are responsible for all activity that occurs under your account, API keys, agent identities, pubkey signatures, signed payloads, or connected systems. You must notify us promptly if you become aware of unauthorized access, credential compromise, or any other security incident involving your use of the Service.

Raw API keys may be shown only once. You are responsible for storing them securely. Hypawave may revoke or suspend API keys, credentials, identities, or access tokens if we believe they are compromised, abused, or used in violation of these Terms.

4. Wallets, Nodes, and Lightning Infrastructure

You are solely responsible for securing your own wallets, nodes, wallet connection strings, Lightning Addresses, LNURL-pay endpoints, signing keys, private keys, seed phrases, access tokens, and related infrastructure.

Hypawave is not responsible for losses, failed payments, delayed settlement, inability to unlock resources, routing failures, insufficient liquidity, unsupported wallets, missing preimages, incorrect payment destinations, compromised wallets, or other issues caused by wallets, nodes, Lightning service providers, user error, or third-party infrastructure.

Some Hypawave flows require programmable Lightning infrastructure that exposes a payment preimage after settlement. Consumer wallets may not expose the preimage reliably. If your wallet or node does not return the required proof, Hypawave may be unable to verify settlement or unlock the requested resource.

5. Payment Proof, Unlocks, and Delivery

Hypawave uses payment hashes, preimages, recorded payment attempts, transaction records, and related metadata to verify that a payment corresponds to a specific invoice, offer, file, API action, or agent workflow.

You acknowledge that a payment may not result in unlock or delivery unless the relevant settlement proof, payment hash, preimage, amount, destination, and system state satisfy Hypawave's verification rules.

Hypawave may reject or ignore settlement proofs, webhook notifications, replayed payment hashes, mismatched preimages, malformed invoices, expired requests, duplicate attempts, terms mismatches, unsupported wallets, or payments that cannot be safely tied to the relevant resource.

When a payment is verified, Hypawave may release file keys, access tokens, download URLs, API responses, execution webhooks, receipt data, or other post-payment outputs according to the relevant product flow.

6. Fees, Topups, and Activation Fees

Hypawave may charge service fees, topups, activation fees, or other fees described in the Service, documentation, dashboard, public settings, or a separate agreement. Fees may be updated from time to time.

Topups are fee-settlement only and are intended to cure outstanding service fees. They are not prepaid balances and are not intended to create a positive stored balance. Accountless flows may require upfront activation fees before an invoice or offer becomes usable.

Unless otherwise stated or required by law, fees, topups, and activation fees are non-refundable once paid or settled. Network fees, routing fees, wallet fees, third-party service fees, failed route costs, or blockchain-related costs are your responsibility.

7. User Content and Resources

You are responsible for all files, metadata, descriptions, API responses, offers, payment destinations, webhooks, content, resources, code, data, and materials you upload, submit, configure, sell, deliver, or make available through the Service ("User Content").

You represent and warrant that you have all rights, licenses, permissions, and authority necessary to use, upload, store, sell, deliver, encrypt, unlock, or otherwise process your User Content through the Service.

You grant Hypawave a limited license to host, store, process, transmit, encrypt, decrypt, unlock, display, and otherwise use User Content as necessary to provide, secure, debug, and improve the Service and to comply with these Terms and applicable law.

Hypawave does not claim ownership of your User Content. You remain responsible for its legality, accuracy, safety, and compliance.

8. Acceptable Use

You agree not to use the Service, directly or indirectly, to:

  • Violate any law, regulation, sanctions program, export control, or third-party right
  • Facilitate fraud, scams, phishing, money laundering, terrorist financing, sanctions evasion, or deceptive activity
  • Sell, distribute, or unlock illegal goods, stolen data, malware, exploit kits, credential dumps, unauthorized access, or unlawful services
  • Upload, store, sell, or transmit child sexual abuse material, non-consensual intimate content, threats, harassment, or content that promotes violence or unlawful discrimination
  • Infringe intellectual property, privacy, publicity, contract, or confidentiality rights
  • Operate regulated financial, gambling, lending, investment, securities, derivatives, insurance, or money transmission services unless you have all required authorizations and our prior written approval
  • Interfere with, overload, scrape, probe, scan, reverse engineer, attack, or disrupt the Service or related systems
  • Bypass rate limits, security controls, payment gates, activation gates, key release rules, or settlement verification logic
  • Use the Service to generate spam, abusive automation, or excessive automated traffic
  • Misrepresent your identity, payment destination, agent authority, product, offer, or relationship with Hypawave

We may investigate, suspend, remove, block, or report activity that we believe violates these Terms, creates legal or security risk, or may harm users, Hypawave, or third parties.

9. Agent and Automation Responsibility

You are responsible for agents, bots, scripts, applications, workers, integrations, and automated systems that use the Service on your behalf. This includes all actions taken with your API keys, account sessions, pubkey signatures, access tokens, payment destinations, or connected infrastructure.

You must implement appropriate spend controls, authorization checks, logging, monitoring, and security controls for automated use. Hypawave is not responsible for unintended purchases, duplicate invoices, repeated requests, agent errors, incorrect destinations, or automation that exceeds your intended scope.

10. Third-Party Services

The Service depends on or may interoperate with third-party services, including wallets, Lightning nodes, LNURL services, payment infrastructure, hosting providers, authentication providers, file storage providers, exchange-rate providers, analytics providers, browsers, blockchain networks, and APIs controlled by you or others.

We do not control third-party services and are not responsible for their availability, security, performance, policies, fees, errors, outages, data handling, or changes. Your use of third-party services may be subject to separate terms and policies.

11. Intellectual Property

The Service, including Hypawave's software, website, APIs, SDKs, documentation, design, brand, logos, user interface, workflows, and other materials, is owned by Hypawave or its licensors and is protected by intellectual property laws.

Subject to these Terms, Hypawave grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for your internal business, development, testing, agent, or creator workflows. You may not copy, modify, distribute, sell, lease, sublicense, or exploit the Service except as expressly permitted by these Terms or applicable open-source licenses.

If you provide feedback, suggestions, bug reports, or ideas, you grant Hypawave a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.

12. Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect information. By using the Service, you agree to our Privacy Policy.

13. Service Changes, Availability, and Beta Features

We may modify, suspend, discontinue, limit, replace, or remove any part of the Service at any time. We may add or remove features, change APIs, update SDKs, alter limits, adjust fees, or change how flows work.

The Service may be unavailable, delayed, interrupted, or degraded due to maintenance, security incidents, provider outages, Lightning routing issues, wallet failures, blockchain congestion, software bugs, migrations, or other causes.

Some features may be experimental, beta, preview, or subject to additional limits. You use such features at your own risk.

14. Termination and Suspension

You may stop using the Service at any time. We may suspend or terminate your access, account, API keys, offers, invoices, resources, or other use of the Service at any time if we believe you violated these Terms, created legal or security risk, failed to pay fees, abused the Service, or used the Service in a way that may harm Hypawave, users, or third parties.

Termination does not affect obligations that by their nature should survive, including payment obligations, intellectual property rights, warranty disclaimers, limitation of liability, indemnity, dispute provisions, and any records needed for security, legal, accounting, or settlement-proof purposes.

15. Disclaimers

The Service is provided "as is" and "as available."

To the maximum extent permitted by law, Hypawave disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, security, and error-free operation.

Hypawave does not provide financial, investment, legal, tax, accounting, regulatory, wallet custody, money transmission, escrow, banking, brokerage, exchange, or insurance advice or services. You are solely responsible for your own compliance, tax reporting, wallet security, payment decisions, and use of Bitcoin Lightning or other third-party systems.

We do not guarantee that payments will route, settle, be recognized by a wallet, produce a preimage, unlock a resource, or be accepted by a recipient. We do not guarantee that files, APIs, webhooks, agents, wallets, nodes, or third-party services will be available, secure, lawful, accurate, or fit for your purpose.

16. Limitation of Liability

To the maximum extent permitted by law, Hypawave, Gopher LLC, and their owners, officers, employees, contractors, agents, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost data, lost goodwill, loss of funds, business interruption, security incidents, wallet compromise, failed settlement, failed unlock, or cost of substitute services.

To the maximum extent permitted by law, Hypawave's total liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of (a) the fees you paid to Hypawave for the Service in the three months before the event giving rise to the claim, or (b) US $100.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

17. Indemnification

You agree to defend, indemnify, and hold harmless Hypawave, Gopher LLC, and their owners, officers, employees, contractors, agents, affiliates, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • Your use or misuse of the Service
  • Your User Content, payment destinations, offers, APIs, files, agents, or workflows
  • Your violation of these Terms or applicable law
  • Your infringement or misappropriation of any third-party right
  • Your wallets, nodes, Lightning infrastructure, third-party services, or automated systems
  • Any dispute between you and a payer, creator, customer, recipient, agent, or third party

18. Governing Law and Disputes

Unless a different rule is required by applicable law, these Terms and any dispute arising out of or relating to the Service will be governed by the laws of the State of Wyoming, without regard to conflict-of-law rules.

Before bringing a formal claim, you agree to contact us at and attempt to resolve the dispute informally. If the dispute cannot be resolved informally, it will be handled by courts located in Wyoming with jurisdiction over the dispute, unless applicable law requires otherwise.

19. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last Updated" date above. If changes are material, we may provide additional notice, such as posting a notice on the website or sending an email.

Your continued use of the Service after changes become effective means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

20. Miscellaneous

These Terms, together with any referenced policies or agreements, are the entire agreement between you and Hypawave regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign these Terms as part of a merger, acquisition, reorganization, sale of assets, or by operation of law.
